What is Bonus Issue ?

 A bonus issue of shares is made to the existing shareholders of a company without any consideration from them. The entitlement to the bonus shares depends upon the existing shareholding of the investors. A bonus issue int he ratio 1:3 entitles the shareholder to 1 bonus share for every 3 held. The Company makes the bonus issues out of its free reserves built from genuine profits. A company cannot make a bonus issue if it has defaulted on the payment of interest or principal on any debt securities issues or any fixed deposit raised.

A company has to get the approval of its board of directors for a bonus issue. In some cases, the shareholders of the company also need to approve the issue. Where the shareholders' approval is not required, the bonus issues must be completed withing 15 days of the board's approval. Where approval of the shareholder is required, the issue must be completed withing two months of receiving the board's approval. A bonus issue once announced cannot be withdrawn. The record date for the bonus issue will be announced and all shareholders as on the record date will be entitled to receive the bonus.

एक बोनस इश्यू तब किया जाता है जब एक कंपनी अपने मौजूदा शेयरधारकों को बिना किसी मूल्य के शेयर प्रदान करती है। बोनस शेयरों का अधिकार निवेशकों के मौजूदा शेयरधारिता पर निर्भर करता है। उदाहरण के लिए, यदि बोनस इश्यू 1:3 के अनुपात में है, तो इसका मतलब है कि हर 3 मौजूदा शेयरों के बदले में एक बोनस शेयर मिलेगा। कंपनी बोनस इश्यू अपने वास्तविक लाभों से बने फ्री रिज़र्व्स से करती है। यदि कंपनी ने किसी भी ऋण सुरक्षा या किसी निश्चित जमा पर ब्याज या मूलधन के भुगतान में चूक की है, तो वह बोनस इश्यू नहीं कर सकती।

कंपनी को बोनस इश्यू के लिए अपने बोर्ड ऑफ डायरेक्टर्स की मंजूरी प्राप्त करनी होती है। कुछ मामलों में, कंपनी के शेयरधारकों की भी मंजूरी आवश्यक होती है। जहां शेयरधारकों की मंजूरी की आवश्यकता नहीं होती, वहां बोनस इश्यू को बोर्ड की मंजूरी के 15 दिनों के भीतर पूरा किया जाना चाहिए। जहां शेयरधारकों की मंजूरी आवश्यक होती है, वहां इश्यू को बोर्ड की मंजूरी प्राप्त करने के दो महीनों के भीतर पूरा किया जाना चाहिए। एक बार बोनस इश्यू की घोषणा के बाद इसे वापस नहीं लिया जा सकता। बोनस इश्यू के लिए रिकॉर्ड तिथि की घोषणा की जाएगी और रिकॉर्ड तिथि पर सभी शेयरधारकों को बोनस प्राप्त होगा।
